Terms of Service for YooReel

These Terms of Service, together with our Privacy Policy and any additional terms presented within YooReel, form a legal agreement between you and YooReel. Please read these Terms carefully before using YooReel, including our mobile application, AI creation tools, content generation features, subscription services, and related products or services collectively referred to as the "Service."

By downloading, accessing, purchasing, subscribing to, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent and supervision of a parent or legal guardian.

By using the Service, you represent and warrant that:

• You have the legal capacity to enter into these Terms;
• You are not prohibited from using the Service under applicable laws;
• You will comply with these Terms and all applicable laws and regulations;
• All information you provide to us is accurate, current, and complete.

2. Privacy

Our collection, use, storage, and sharing of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.

3. Accounts and Security

Some features of the Service may require you to create an account, sign in with a supported login provider, or provide certain information. You agree to provide accurate and complete information and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us promptly if you believe your account has been accessed without authorization.

You may not:

• Use another person's account without permission;
• Sell, transfer, license, or assign your account to another person;
• Create accounts using false, misleading, or unauthorized information;
• Use the Service in a way that interferes with other users, the Service, or our systems.

Account Deletion

If the Service allows account creation, we will provide a method for you to initiate account deletion in the app or through another clearly identified process. Deleting your account may permanently delete account information, user content, and associated personal data, except where we are required or permitted to retain certain information for legal, security, fraud prevention, tax, accounting, dispute resolution, or compliance purposes.

Deleting your account does not automatically cancel an active subscription purchased through the Apple App Store or another third-party app store or payment platform. You are responsible for canceling subscriptions through the platform where you purchased them.

4. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for lawful purposes and in accordance with these Terms.

You may not:

• Copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service;
• Reverse engineer, decompile, disassemble, or attempt to extract source code, models, algorithms, or underlying technology from the Service, except to the extent such restriction is prohibited by law;
• Use the Service to build, train, benchmark, or improve a competing product or service without our written permission;
• Bypass, disable, or interfere with security, usage limits, content restrictions, or access controls;
• Use automated tools, bots, scraping, crawling, or similar methods to access the Service without our prior written permission.

5. Subscriptions, Purchases, Billing, and Refunds

5.1 In-App Purchases and Subscriptions

The Service may offer paid features, credits, subscriptions, memberships, or other digital products. Prices, features, limitations, billing periods, renewal terms, and cancellation terms will be shown before purchase where required.

If you purchase through the Apple App Store or another app store or payment platform, your purchase is processed by that platform and is subject to its terms, payment policies, refund policies, and subscription management rules.

5.2 Auto-Renewing Subscriptions

If you purchase an auto-renewing subscription, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date through the platform where you purchased the subscription.

You can manage or cancel subscriptions purchased through the Apple App Store in your Apple Account subscription settings. Deleting the app or deleting your account does not automatically cancel your subscription.

5.3 Credits and Usage Limits

The Service may use credits, tokens, generation quotas, or usage limits. Unless otherwise stated at the time of purchase:

• Credits may be consumed when you submit a generation, rendering, editing, export, or processing request;
• Credits may expire according to the terms shown in the app or purchase screen;
• Credits are not legal tender, stored value, or a deposit account;
• Credits are non-transferable and may not be resold;
• Failed, canceled, or policy-blocked generation requests may or may not result in credit restoration depending on the technical status and product rules shown in the Service.

5.4 Refunds

For purchases made through the Apple App Store or another app store or payment platform, refund requests must be submitted to that platform unless otherwise required by law.

For purchases made directly through us, refunds, if any, will be handled according to the refund policy displayed at the time of purchase or as required by applicable law.

We reserve the right to deny refunds in cases of abuse, fraud, violation of these Terms, excessive usage, chargeback abuse, or other misuse, to the extent permitted by applicable law.

5.5 Taxes

You are responsible for any applicable taxes, duties, or governmental charges related to your purchases. Where required by law, taxes may be calculated, charged, collected, or remitted by us or by the applicable payment platform.

6. AI Features and Generated Content

The Service may allow you to generate, edit, transform, enhance, animate, or otherwise process images, videos, audio, text, avatars, likenesses, or other content using artificial intelligence technologies.

6.1 Inputs and Outputs

"Input" means any content, prompt, photo, video, audio, instruction, file, data, or material that you upload, submit, provide, or make available to the Service. "Output" means content generated, edited, rendered, or returned by the Service based on your Input or use of the Service.

6.2 Your Responsibility for Inputs and Outputs

You are solely responsible for your Inputs, your use of Outputs, and any consequences of creating, publishing, sharing, selling, or otherwise using such content outside the Service.

You represent and warrant that:

• You own or have all necessary rights, licenses, permissions, and consents to upload and process your Inputs;
• Your Inputs and use of Outputs will not infringe or violate any intellectual property, privacy, publicity, contractual, or other rights of any person or entity;
• If your Input includes another person's face, voice, likeness, image, biometric characteristics, personal information, or other identifying features, you have obtained all necessary rights and consents required by law;
• You will not use the Service to deceive, impersonate, defame, harass, exploit, threaten, or harm any person.

6.3 Rights to Outputs

Subject to your compliance with these Terms and any plan-specific restrictions, you may use Outputs generated through your account for lawful personal or commercial purposes.

However, you acknowledge that:

• AI-generated content may not be unique;
• Similar or identical outputs may be generated for other users;
• We do not guarantee that any Output is copyrightable, registrable, protectable, accurate, lawful, or non-infringing;
• You are responsible for reviewing Outputs before using, publishing, or relying on them;
• Outputs may be restricted by applicable law, platform rules, other people's rights, or technical limitations of the Service.

6.4 No Professional Advice

Outputs are provided for general creative, entertainment, or productivity purposes only. The Service does not provide legal, medical, financial, professional, or other regulated advice.

6.5 AI Accuracy and Availability

AI systems may produce inaccurate, incomplete, offensive, unexpected, or unsuitable results. We do not guarantee that any Output will meet your expectations, be error-free, or be appropriate for any particular purpose.

7. User Content

You may upload, create, generate, save, export, or otherwise provide content through the Service, including photos, videos, audio, text prompts, images, editing instructions, and generated content collectively referred to as "User Content."

YooReel is a creation tool. It does not provide a public community, public profile, public comment system, or public feed within the Service. If you choose to export content and share it outside YooReel, that external sharing is your responsibility and may be governed by the terms and policies of the external platform you use.

You retain any rights you may have in your User Content. We do not claim ownership of your User Content.

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify, adapt, transmit, and otherwise use your User Content solely as necessary to:

• Provide, operate, maintain, and improve the Service;
• Generate, edit, render, save, sync, export, or display content at your request;
• Provide customer support and troubleshoot technical issues;
• Detect, prevent, and address fraud, abuse, security incidents, policy violations, and illegal activity;
• Comply with applicable laws, legal processes, and regulatory obligations.

8. Prohibited Uses and Content Rules

You agree not to use the Service to create, upload, generate, export, distribute, promote, or facilitate content or activity that:

• Violates any applicable law, regulation, court order, or contractual obligation;
• Infringes or misappropriates intellectual property, privacy, publicity, image, voice, likeness, or other rights;
• Contains sexual content involving minors or exploits, harms, or endangers children in any way;
• Creates or distributes non-consensual intimate images, sexual deepfakes, or sexualized content of a real person without consent;
• Impersonates another person or falsely suggests endorsement, authorization, or affiliation;
• Defames, harasses, bullies, threatens, abuses, doxxes, or targets any person or group;
• Promotes hatred, discrimination, or violence based on protected characteristics;
• Promotes, instructs, or facilitates self-harm, suicide, eating disorders, violence, terrorism, extremist activity, or serious physical harm;
• Promotes illegal drugs, weapons, human trafficking, exploitation, fraud, scams, phishing, malware, or cyber abuse;
• Misleads people about real-world events, identity, evidence, public figures, elections, news, or emergency situations;
• Attempts to bypass safety systems, content filters, rate limits, access controls, or usage restrictions;
• Uses the Service to develop, train, benchmark, or improve competing AI systems or services without our written permission;
• Overloads, disrupts, damages, or interferes with the Service, our systems, or other users' access.

9. Safety Review and Enforcement

We may use automated systems, safety checks, human review, and other methods to detect, prevent, or respond to prohibited content, technical abuse, fraud, security incidents, or misuse of the Service.

Because YooReel is a creation tool and does not provide a public community or comment feature, moderation is focused on generated requests, uploaded materials, account misuse, and service security rather than public user-to-user interactions.

We may remove, restrict, refuse to process, or disable access to content that we believe violates these Terms, applicable law, other people's rights, or platform rules. You may report concerns by contacting us at [email protected].

10. Intellectual Property

The Service, including software, interfaces, design, graphics, logos, trademarks, service marks, text, features, functionality, databases, workflows, and underlying technology, is owned by us or our licensors and is protected by copyright, trademark, trade secret, patent, and other laws.

Except for the limited license expressly granted in these Terms, we do not grant you any rights in or to the Service or our intellectual property.

Feedback

If you submit suggestions, ideas, feedback, bug reports, feature requests, or other comments about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, display, and otherwise exploit such feedback without restriction or compensation to you.

11. App Store and Platform Services

The Service may rely on app store platforms and device-level operating system features to distribute the app, process in-app purchases, restore purchases, manage subscriptions, deliver notifications, and support device permissions. Your use of app store purchases and device-level services may also be subject to the terms and policies of Apple or the relevant platform provider.

YooReel does not include third-party advertising networks, third-party social networking features, public comments, or a public community feed within the Service.

12. Copyright Policy

We respect intellectual property rights and expect users to do the same. If you believe that content processed or made available through the Service infringes your copyright, you may submit a notice to [email protected].

To help us review your notice, please include:

• Your physical or electronic signature;
• Identification of the copyrighted work claimed to have been infringed;
• Information reasonably sufficient to identify the allegedly infringing material;
• Your contact information, including your full legal name, mailing address, telephone number, and email address;
• A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
• A statement that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

We may remove or disable access to allegedly infringing material and may suspend or terminate accounts of repeat infringers where appropriate.

13. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Service at any time, with or without notice, if we reasonably believe that:

• You violated these Terms or applicable law;
• Your use of the Service creates legal, security, reputational, operational, or financial risk;
• Your account is involved in fraud, abuse, infringement, or misuse;
• We are required to do so by law, court order, government request, or platform rule;
• We discontinue or materially modify the Service.

You may stop using the Service at any time. Termination does not relieve you of obligations incurred before termination, including payment obligations, restrictions on misuse, indemnification obligations, and provisions intended to survive termination.

14. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and uninterrupted or error-free operation.

We do not warrant that:

• The Service will meet your requirements or expectations;
• The Service will be uninterrupted, secure, timely, or error-free;
• Outputs will be accurate, lawful, unique, non-infringing, or suitable for your intended use;
• Defects or errors will be corrected;
• The Service will be free of viruses, harmful code, or harmful components.

Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions may not apply to you.

15. Limitation of Liability

To the maximum extent permitted by applicable law, we and our affiliates, officers, employees, agents, partners, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenues, lost data, loss of goodwill, business interruption, or cost of substitute services, arising out of or related to your use of or inability to use the Service.

To the maximum extent permitted by applicable law, our total liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of the amount you paid to us for the Service during the three months before the event giving rise to the claim or USD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless us and our affiliates, employees, agents, partners, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your access to or use of the Service;
• Your Inputs, Outputs, or User Content;
• Your violation of these Terms;
• Your violation of applicable law or other people's rights;
• Your misuse of AI-generated content, likenesses, images, videos, voices, or personal information;
• Any dispute between you and another user or third party.

17. Apple App Store Additional Terms

If you download or use the Service through the Apple App Store, the following additional terms apply:

• These Terms are between you and YooReel, not Apple. Apple is not responsible for the Service or its content.
• The license granted to you is limited to a non-transferable license to use the Service on Apple-branded products that you own or control and as permitted by the Apple Media Services Terms and Conditions, including any applicable Family Sharing or volume purchasing rules.
• We, not Apple, are responsible for providing any maintenance and support services for the Service, to the extent required by applicable law or these Terms.
• If the Service fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service.
• We, not Apple, are responsible for addressing any claims by you or any third party relating to the Service or your possession and use of the Service, including product liability claims, legal compliance claims, and consumer protection claims.
• In the event of any third-party claim that the Service or your possession and use of the Service infringes that third party's intellectual property rights, we, not Apple, will be responsible for the investigation, defense, settlement, and discharge of such claim.
• You represent and warrant that you are not located in a country or region subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• You must comply with applicable third-party terms of agreement when using the Service.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as a third-party beneficiary.

18. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or relating to these Terms or the Service will be governed by the laws applicable in the place where the developer identified in the app store listing is legally established or resides, without regard to conflict of law principles, unless the consumer protection laws of your country or region require otherwise.

Before filing a formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will try to resolve the dispute in good faith. Nothing in these Terms limits any mandatory consumer rights or remedies available to you under the laws of your country or region.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify you by updating the effective date, posting a notice in the Service, sending an email, or using another reasonable method.

Your continued use of the Service after updated Terms become effective means that you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
